The Publishing House “Statut”, together with the M-Logos Law Institute, published a book: “Corporate Law Awaiting Changes”. The book addresses key problems of modern corporate law in Russia. The senior associate of Sirota & Partners law firm, Ekaterina Ivanova, authored one of the sections of this book focused on voting agreements in private companies. In the article Ekaterina provided an analysis of the limits of shareholder’s freedom of contract and practical mechanisms for ensuring the enforcement of voting agreements based on Russian and foreign legislation and case law.
