Senior lawyer of the bureau Ekaterina Ivanova spoke at the Moscow Innovative Legal Forum organized by Moscow State Law Academy. In her report, Ekaterina discussed the latest practice of the Russian Supreme Court on shareholders claims which expands the shareholders’ rights to return assets alienated by the director back to the company. At the beginning of 2025, the Supreme Court fundamentally changed the traditional approach to indirect claims as an exclusive tool of protection available to shareholders only in those cases that are expressly mentioned by law. In particular, the Supreme Court indicated that shareholders are entitled not only to challenge transactions and recover damages from the director, but also to go to the final purchasers of the assets sold by the director and demand their return through vindication claims.
