Bureau Counsel Ekaterina Ivanova participated in a discussion of the Russian Supreme Court’s new Digest on the liability of directors and controlling persons of a company. Ekaterina focused on director liability for public law violations committed by a company. Previously, courts took an extremely strict approach, essentially automatically shifting public law fines paid by a company for tax or administrative violations to the director, who was obligated to compensate the company for these fines as damages. However, in its new Digest, the Supreme Court softens this approach, granting directors new defenses—including references to delegation of authority, ordinary business risk, and the conduct of the company's beneficiaries. Managing partner Artem Sirota participated in the discussion of investors’ issues at the Legal Committee of the Russian-German Chamber of Commerce. In his paper, Artem discussed the international legal aspects of the seizure and restriction of foreign investor assets, as well as the means of protecting investors and the state. From an international legal perspective, states have the right to regulate relations with foreign investors. However, a balance is important in this regard: state measures must not be discriminatory or expropriatory. Details of the paper are available in the presentation.
